The Meaning of a 23.6% Premium

On September 29, 2026, Amazon acquired roughly 1.86M shares of Gold Circuit Electronics (2368-TW) at NT$856/share via private placement. The total was NT$1.59B (~US$49M) — small in dollar terms, but priced at a 23.6% premium to the prevailing market. The transaction simultaneously triggered a NT$7.9B capex plan at Gold Circuit.

Pick apart the numbers and this is not a passive stake. Amazon paid a premium to lock in Gold Circuit's future capacity via equity, and Gold Circuit will immediately recycle that capital into new lines. A purchase order was replaced by shares plus capex. For Taiwan's back-end and substrate chain, this is the first hyperscaler equity buy at a premium in this cycle.

What Happened Around It in the Same 3 Days

Taken alone, the Gold Circuit deal reads as an isolated event. Line it up against the other capital events in Taiwan's PCB/substrate chain over the past 72 hours and the direction is unmistakable.

Tripod Technology (4958-TW) posted August revenue of NT$20.67B (+41% YoY, +17% MoM) — its first month above NT$20B — and simultaneously priced an offshore $800M convertible bond (~NT$25.6B). PCB drill-bit maker Apex Technology (8021-TW) closed a combined NT$2.1B+ dual raise (NT$480M unsecured CB + NT$1.62B follow-on). Reports that Nvidia is evaluating glass substrates for next-gen AI packaging — and wants Asian partners to complete development by ~2028 — sent TPK-KY (3673-TW) to daily limit. And an unnamed "leading Taiwan PCB manufacturer" secured roughly half of Nvidia's Vera CPU orders, earning a NT$1,300 price target on a projected EPS of NT$55 — the market points to either Nan Ya PCB (8046-TW) or Unimicron (3037).

Why Substrate, Not Logic

The common cause is a shifting bottleneck. TSMC's advanced nodes are already reportedly booked through 2030, back-end leader KYEC is projected to grow revenue ~50% in 2027, and leadframe maker Shunde (2351) doubled its Q2 gross margin to 20.7% from a 10.5% trough a year ago. TSMC's Q3 earnings call on October 15 is expected to guide capex toward roughly $64B.

The unresolved layer, then, is PCB / ABF substrate / optical packaging / glass substrate. With the upper layers (leading-edge logic, HBM memory) all locked in, the remaining bottleneck sits in the interconnect stack — and for a hyperscaler, one delayed layer delays the entire system. TechNews reported this week that average per-wafer memory revenue has now surpassed TSMC's 3nm logic, confirming that HBM demand has fully sealed the top. Substrate is the last open layer.

The Two-Year Glass-Substrate Window

Nvidia's request that Asian partners complete glass-substrate development by ~2028 opens an explicit time window for Taiwan. Miss it and there is no seat at the next-gen table. TPK-KY's limit move, the NT$700 price target for an ABF/optical dual-materials name, and Apex's drill-bit raise are all capital reactions to that window.

The EPS 55 Scenario for Nan Ya PCB

Whether the PCB name winning ~50% of Nvidia's Vera CPU orders is 8046 or 3037 will only be confirmed at earnings, but the NT$1,300 / EPS 55 scenario rests on two premises. (1) Vera Rubin ramps meaningfully from 2027, pulling CPU and GPU carrier-substrate demand in lockstep. (2) High-end ABF substrate layer counts and line-width requirements continue to escalate, sustaining a 3–5× ASP premium over legacy smartphone volumes. NT$1,300 implies a ~24× P/E on the resulting earnings — expensive for a Taiwan PCB name historically, but consistent with what only TSMC and its closest supply chain have enjoyed.

Index Down, Capital Up

Taiwan's TAIEX fell 392 points (-0.82%) on the first post-holiday session and foreign investors net sold NT$63.2B, driven by US 10-year yields briefly breaching 5.2%. Yet during that same selloff, Amazon was writing a premium check for Gold Circuit equity. The contrast is the point — trading flows recede on macro rates while strategic capital anchors deeper into the physical chain.

The pattern to watch is straightforward. Purchase orders can be reshuffled quarter to quarter; equity cannot. When a hyperscaler moves to the second layer, it is signaling that it expects the constraint to persist across multiple generations of accelerators. Every additional stake — and there will be more — narrows the pool of Taiwan PCB/substrate capacity available to non-anchored buyers.
